Conflict Rules In Issue And Transaction Of China Depository Receipts

Recently,the supervisory department has frequently been vocal to support the return of “new economy” enterprises.The once-silent China depository receipts have returned to the market participants’ vision and attracted wide attention.In this context,this paper studies the conflict rules in issue and transaction of China depository receipts.The first chapter introduces the causes,manifestations and characteristics of the legal conflicts in issue and transaction of China depository receipts.The second chapter mainly discusses the basic theory of application of law in the issue and transaction of China depository receipts.In this chapter,the author analyzes the characteristics and classification of the application of law in issue and transaction of depository receipts and the application of the issuer’s personal law,stock exchange law,behavior law,and autonomy of will.Chapter three explores the jurisdiction of depository receipts during issue and transaction.The author mainly analyzes the relationship between the jurisdiction of the depository receipts disputes and application of law,the basis of jurisdiction,and the solutions to conflicts.The last chapter,on the basis of studying the legislation status of legislation of multinational securities investment conflict laws at home and abroad,the author puts forward with ideas and suggestions on the construction of regulations of the application of law in issue and transaction of China depository receipts.
