The Consummation Of The System Of Intellectual Property Investment In Our Company Law

In the current situation of rapid development of knowledge and technology,intellectual property has gradually become the core production factor of an enterprise.Intellectual property investment is based on the use of intellectual property as a special form of investment in the target company to obtain equity investment.The special nature of intellectual property makes it more complicated to invest in tangible assets such as movable assets and real estate,and it also brings many concrete problems in practice.Therefore,it is of practical significance to conduct further research on intellectual property investment and improve the norm on legal level.In addition to the introduction,this article consists of four parts:The first part mainly describes the changes of the intellectual property investment system in the company law of our country.This part is based on the three amendments to the intellectual property investment system in the company law,and sorts out the changes in the intellectual property investment system in China’s company law in three phases according to time.This is the legal background of the full text.The second part mainly discusses the problems existing in the system of intellectual property investment in the company law of our country.This article believes that although China’s company law has undergone several revisions and the intellectual property investment system has been continuously improved,there are still some problem,including that the subject of intellectual property investment is unclear,and it is not confirmed that the using right of intellectual property licenses can be used for investment,and the intellectual property investment evaluation does not provide internal assessment.The third part mainly introduces the intellectual property investment system of several typical foreign countries.Through the inspection of the intellectual property investment system of Germany,France,the United States and Japan,we seek to learn in China’s intellectual property investment system.The fourth part mainly discusses how to perfect the intellectual property investment system in company law of our country.Through research,this paper puts forward the following suggestions for improving the intellectual property investment system in the company law of China: Relax the restrictions on the subject of intellectual property investment,increase the provisions on the using right of the intellectual property license,and increase the relevant provisions on the internal evaluation of intellectual property.
