A Research On The Legal Regulation Of Shareholder's Contribution Obligation Under The Registered Capital Subscribed System

From a global perspective,In order to meet the need of enhancing the international competitiveness of enterprises under the economic globalization,the developed countries generally have to reform the statutory capital system.Focus on domestic,Thecorporate law of our country after three amendments,although not to change the institutional basis of the statutory capital system,but change the registered capital paid in system intoregistered capital subscribed system.China's reform of the registered capital system reflects more liberal and motivating shareholders startup of national policy.The new policy plays an active role in the capital market,however,also caused a series of negative influence.If does not take Legal regulation of shareholder's contribution obligation,the consequences could be disastrous.Therefore,I have a comprehensive,systematic research on legal regulation of shareholder's contribution obligationand hope to give future generations to learn from.In this paper,I use literature study,case study analysis and comparative study.Firstly,this article introducethe registered capital subscribed system in China,including legal evolution of registered capital system,registered capital subscribed system's concept,characteristics and implementation effect.Secondly,I introduce shareholder's contribution obligation under the registered capital subscribed system.In this paper,I use examples and case analysis,more intuitive to reflect shareholder's contribution obligation issues.Next is to describethe value of the legal regulation of shareholder's contribution obligation,which is order value,fair value,safety value.Besides,I introduce and review the current legal regulation system in our country.Finally,in order to standardize the administrative supervision of shareholder's contribution and improve the judicial relief system of creditors,I put forward the proposals about the legal regulation of shareholder's contribution obligation under the registered capital subscribed system.
