Research On The Evaluation Of M & A Ability Of Listed Companies

Merger and Acquisition is an important means for many enterprises to develop,and it is an important topic that can not be underestimated..Successful Merger and Acquisition will bring competitive advantage and value increase to enterprises,and achieve the effect of 1 + 1 > 2.The analysis of Merger and Acquisition;a capability is an important part of the research on Merger and Acquisition activities.However,there is not a unified evaluation system of Merger and Acquisition capability in the previous research.Therefore,this thesis constructs the evaluation model of Merger and Acquisition capability based on the analysis of resource capability theory and other capability theories,combined with AHP.Before constructing the analysis and evaluation model of Merger and Acquisition capability,this thesis starts with the theory of resource capability,core capability and dynamic capability,and defines the concept of M & a capability from the perspective of M & a process;divides Merger and Acquisition capability into three sub capabilities: Merger and Acquisition resource support capability,Merger and Acquisition transaction operation capability and Merger and Acquisition integration management capability.Then,combined with AHP,taking Merger and Acquisition capability as the core evaluation objective,starting with three sub capabilities,13 qualitative and quantitative indicators are selected;questionnaires are distributed to 20 experts to determine the weight of each level of indicators through the way of expert scoring;after that,the comprehensive fuzzy evaluation is combined to define the scoring standards of each indicator,so as to build the Merger and Acquisition capability of enterprises Evaluation model.Finally,taking Junsheng electronic company as an example,this thesis tests the model of Merger and Acquisition capability analysis and proves the rationality of the model.It can be said that this is a new perspective on the analysis of Merger and Acquisition capabilities,and on this basis to build an evaluation model of Merger and Acquisition capabilities,hoping to help enterprises better understand their own Merger and Acquisition capabilities,so as to better and more effective completion of Merger and Acquisition,in order to improve the competitive advantage and value of enterprises.
