Research On Financial Fraud Of Back-door Listing Of Shandong Yabaite

China's initial public offering and listing adopt the approval system,which requires high performance threshold,high time cost,cumbersome listing procedures,long audit cycle and large risk changes,so backdoor listing has gradually become an important way for Chinese enterprises to list.However,in practice,due to problems such as asymmetric information,impure motivation of listing and defective supervision of capital market,financial fraud and other illegal behaviors occur frequently.In 2015,Shandong Yabaite "backdoor" Zhonglian electric(renamed as Yabaite after restructuring)issued financial reports containing false records in 2015 and 2016.Due to serious financial fraud,Yabate may be the first company who into China's small board delisting.Therefore,this case is selected as the main research object in this paper.First of all,this paper reviews the research literature on backdoor listing,financial fraud and financial fraud in backdoor listing.Summarize the previous research results,find out the less research and research significance of the field.Secondly,I read a large number of relevant practical cases,and find meaningful typical cases that I want to study.I collect relevant case materials and data,analyze case phenomena,and put forward the core issue of this study:how to prevent and governance financial fraud in back-door listing?Thirdly,through in-depth analysis of the information and data,the process of financial fraud in backdoor listing and the main related parties are analyzed,and the problems or negligence of the relevant parties and the areas to be improved are analyzed.Finally,in view of the existing problems of the relevant parties,this paper puts forward some measures to prevent and control financial fraud in backdoor listing,hoping to provide some inspiration and guidance for the prevention and control of financial fraud in backdoor listing in the future.
