Risk Analysis And Prevention Of American Merger And Purchase Kuka

In recent years,China has vigorously launched the "go out" policy to encourage enterprises to carry out overseas investment mergers and open up the international market.Under this background,Chinese enterprises have gone out of the country and constantly ushered in the wave of cross-border mergers and acquisitions.However,the process of merger and acquisition is accompanied by various risks,which affects the success of merger and acquisition activities all the time.Therefore,we need to identify and analyze the risks in the process of merger and acquisition,and take effective preventive measures to minimize the possibility of risk occurrence.This paper first through a large number of domestic and foreign literature to clarify the concept and category of cross-border M&A risk.On this basis,studying the classic case of the US merger and acquisition Kuka,first from the qualitative point of view,according to the US merger and acquisition process,the merger and acquisition risk is divided into pre-merger strategic risk,merger and acquisition transaction risk,and merger and acquisition integration risk.Explain in detail the reasons for each risk.Then from the quantitative point of view,the fuzzy comprehensive evaluation method,analytic hierarchy process and eierdefa were used to evaluate the risk level of the US merger and acquisition card,and the US risk level index was obtained.The research shows that in the case of the US merger and acquisition Kuka,the risk evaluation index is good,and the risk level is at a medium risk level,indicating that this merger and acquisition activity is a more successful merger and acquisition case.The preventive measures of M&A risk can bring effective reference meaning to the cross-border M&A activities.Finally,according to the above analysis,this paper puts forward some suggestions to prevent the risk of cross-border M&A in order to improve the control ability of Chinese enterprises.
