In June 2014,the China Securities Regulatory Commission released the guiding opinions on the implementation of employee stock ownership plan for listed companies,which provided formal norms and system guarantee for the implementation of employee stock ownership plan in China's listed companies,and promoted the healthy development of ESOP.The time of the development of ESOP of Listed Companies in China is relatively short,so there are still many problems in the actual operation process,such as enterprise management for the ESOP is not transparent,the laws and regulations are not perfect,there is no effective external supervision mechanism,and short-term welfare problems,etc..Compared with foreign countries,domestic scholars do not have enough research on ESOP,and the existing research focuses on the legal issues and institutional problems of ESOP in China.There are few studies on the impact of ESOP on corporate performance.A few researches on the influence of employee stock ownership plan on company performance are mainly concentrated in the empirical direction.In recent years,there are few articles in relevant case studies.In view of this,this paper studies the specific cases of the implementation of ESOP in SIPG,which provides a reference for the implementation of ESOP in China's listed companies.It is of great significance to promote the implementation of the employee stock ownership plan of the state-owned enterprises in China.In this paper,the above port group as the research object,carries on the concrete analysis.The first chapter is mainly the research background,research significance and so on.The second chapter,the related concept of company ESOP is defined,reviewed and summarized the relevant literature at home and abroad,the third chapter is mainly on the case of collective introduction,introduces the related situation of enterprises,employee stock ownership plan background,motivation,basic principles,main contents etc..The fourth chapter mainly analyzes the core contents of the ESOP,such as shareholdings,funds and stock sources,and examines the implementation effect through various financial and non-financial data.The fifth chapter,through the above analysis,draws the conclusion and puts forward some suggestions for listed companies to promote and implement employee stock ownership plan.Through the analysis of this paper,it is found that the employee stock ownership plan of SIPG has improved the performance of the enterprise in the short term,but the effect of the plan is weakened with the passing of time.In the long run,the effect of the employee stock ownership plan is not obvious.At the same time,in the effect of mixed reform,the proportion of employee stock ownership of Shanghai and Hong Kong Group is low,and the effect of mixed reform is relatively less obvious.Through analyzing the specific cases,summarizing the experience that can be learned from the implementation process,we find the problems in the employee stock ownership plan,and give some suggestions for the problems.A little contribution to the successful implementation of the employee stock ownership plan in the future.
