The Case Study Of The Material Assets Reorganization Of Xinghui

On October 24 th,2014,the China securities regulatory commission officially issued the measures for the administration of material assets reorganization of listed companies.The new regulations implemented formally since November 23 of that year which effectively promotes a new round of restructuring boom in our stock market.In addition,China's stock market emerged a large number of assets reorganization of listed companies because of a number of factors such as state-owned enterprise reform,new pattern industry,manufacture 4.0,Internet plus.So this article selected the material assets reorganization as a research theme to fit the current capital market environment.As a traditional manufacturing enterprise of car models and infant child products,The Xinghui successively completed two major assets restructuring in August 2012 and March 2014 from listing in germ in 2010.After that Xinghui implemented a gorgeous turn around,from traditional manufacturing to the combination of traditional industries and emerging industry.So this article chooses Xinghui's two different nature of the material assets reorganization as the research object.On the one hand,it can analyze the motivation and purpose of the material assets reorganization of the different developmental stages of the enterprises to evaluate the efficiency of the reorganization from different perspectives,and to prove this matter whether achieving expected purpose from the evaluation results.On the other hand,it can find the differences between two assets reorganization by comparing the process and result and it can also give more inspiration for similar enterprise's development.In this paper,the research content mainly includes four parts.First of all,the paper expounds the research background and research significance of this article and launches a literature review from the definition of related concepts,assets restructuring,performance and other aspects;Secondly,the paper respectively introduces the company's development,the agent of assets restructuring,the plan of asset restructuring and the expected purpose before the reorganization,and it emphatically analyzes the strategic intention after the implementation of the two material assets reorganization;Again,the paper evaluate the two assets restructurings from the financial performance,market performance and strategic performance and analyzes the differences between the two assets reorganizations;Finally,the thesis summarizes some enlightenment of the case for the related enterprises to implement the material assets reorganization and proposes some my own thinking for the further development of Xinghui.
