Traditional enterprises as an important factor in the development of the economy,laying a solid foundation for rapid development of China's economic development to lay,has made a great contribution,but the development pattern.But the problems are appearing,such as: low efficiency of using excess production capacity,environmental protection pressure,structural reform environment.The impact of the Internet is becoming more and more significant,the traditional enterprises are forced to transformed to be pro-active,seeking optimal allocation of resources.Many enterprises realize that acquisition is the choice of many enterprises to transform.Driven by the sense of crisis,we need to pay close attention to whether it is a feasible way for the once prosperous traditional enterprises to choose merger and acquisition to enter the emerging hot industries and achieve diversified development.The core of M&A is to highlight the advantages,improve operational efficiency of the company as a whole,but different companies' M&A under the influence of personalization features also have their own characteristics,different motivations.So discussing the micro case of M&A motivation,through performance measure to judge whether achiving success,has very important practical significance.In this paper,the A-share listed company guangdongrongtai industrial co.,LTD.(" guangdongrongtai ")is selected as the case study object to analyze the motivation and performance of guangdongrongtai's acquisition of Beijingsenhuayiteng communication technology co.,LTD.(" senhuayiteng ").Guangdongrongtai as a traditional chemical enterprise,has domained the market for a long time,but as the industry competition intensifies,excess capacity is more and more prominent,leading to product sales and profit margins declining,slipped in development bottleneck,which is the majority of the plight of the traditional enterprise.With good prospects for the Internet industry policy market opportunities,the company through acquisitions refactoring diversification development business system to enhance competitiveness,becomeing active to get continuous value creation.In this context,case study of enterprises has important theoretical significance and practical value.First of all,based on the theory of the motivation of mergers and acquisitions,this paper studies and analyzes the motivation of guangdongrongtai to acquire senhuayiteng based on the background of traditional enterprises entering the emerging industry through mergers and acquisitions.In exploring whether the M&A motivationimplementation,on the basis of further use of short-term and long-term performance evaluation methods to the guangdongrongtai before and after M&A performance comparison analysis,finally evaluate the M&A case,drawing relevant revelation,emerging hot spot for the traditional enterprise,breaking the development bottleneck to achieve strategic transformation to provide the reference suggestion.The research conclusion of this article suggests,on the one hand,the guangdongrongtai choose senhuayiteng is due to business development bottleneck,want to seize the policy and market opportunity to find new sources of growth,get human technology resources quickly achieved through mergers and acquisitions can be a way to cut into the Internet,reference business model advantages to promote the development of "chemical + Internet" double business,continue to create value for enterprises,also the M&A motivation according to implementation from short-term and long-term performance has achieved;On the other hand,when enterprises carry out M&A,they should not only carefully consider the strategic layout,the growth cycle of the industry and the policy opportunities,but also actively integrate the development planning,business,personnel and other aspects to obtain synergies,and timely adjust the corporate strategy to ensure sustainable development.
