| Iron and steel industry has always been an important part of the national economy,and its development strategic planning has also attracted much attention.At present,China’s iron and steel industry has a good momentum of development,domestic and foreign steel demand has maintained a steady growth,and the future development trend is promising.However,there are still many problems to be solved urgently in the development process of the entire industry,the most important of which is the low degree of industrial concentration.Through structural adjustment and effective mergers and acquisitions among enterprises,the iron and steel industry can optimize the allocation of resources and promote faster and better economic development.But at the present level,if we want to achieve the policy concentration target of 60%-70%,accelerating the merger and reorganization of the steel industry is the only way.Relying on the integration and expansion of iron and steel industry and upstream and downstream industrial chains,M&A funds in the iron and steel industry gradually play an important role in the M&A and reorganization of the iron and steel industry,which will accelerate the upgrading of the concentration of the national iron and steel industry and the optimization and upgrading of the overall industry.Through the design of M&A fund structure and M&A scheme,this paper establishes the whole process of M&A fund playing its role in the steel industry.Leading enterprises in the iron and steel industry and investment companies establish equity investment management limited company,and use it as fund management company,set up limited partnership industry merger and acquisition fund with other partners,and carry out merger and acquisition of potential projects.This PE + listed company type M&A fund can synthesize the advantages of multiple M&A partners’ complementary resources,and realize mutual benefit and win-win situation.Supported by the complete operation of the organization,this paper establishes a target company which enters bankruptcy proceedings in the iron and steel industry.Combining with the detailed analysis of assets and liabilities and solvency,this paper improves the M&A activities from two aspects: the design of M&A scheme and the design of integration scheme.On the one hand,it clarifies the process and basic content of M&A scheme,on the other hand,it also clarifies the human resources,finance and industry.From the four perspectives of business and culture,this paper illustrates the main points of post-merger integration,hoping to solve the problem of high failure rate of mergers and acquisitions as far as possible,because integration is the basis of the effectiveness of resource allocation and the key to synergy or function.Finally,the paper explains the selection of relevant modes and terms in the design of the whole merger and acquisition process,expounds the advantages of the selection,and determines the rationality of the scheme design.From the three aspects of environmental risk,operational risk and exit risk,the possible risk points and corresponding preventive measures are emphatically analyzed. |
