At present,the reform of state-owned enterprises will continue to deepen.Especially since the reform and opening up,the state-owned system is the main body and the development of multiple ownership has been put forward.The reform of ownership of state owned enterprises is urgent and must be accelerated.The most effective and convenient reform of the mixed ownership system is to carry out the employee stock ownership plan within the enterprise.Employee stock ownership is a new thing for an enterprise,but in many traditional industries,in order to win the competition,many enterprises have already carried out the reform of ownership by employee stock ownership,and have achieved remarkable results.Many state-owned enterprises have combined their own characteristics to explore the specific plan of their own employee stock ownership model.The state-owned enterprises do not only to implement the Party Central Committee,the State Council promulgated the policy,but also because of the employee stock ownership plan as an important mode of mixed ownership reform,not only conducive to the further optimization of corporate ownership structure,incentive to use more equity,let employees establish a "master" consciousness.The author from the mixed ownership reform of state-owned enterprises in the mode of employee stock ownership plan,firstly based on the related theories on the analysis using the method of calculation,the financial indicators,selected the listed data in the annual reports of the conch group,through consulting relevant industry information jade books,specific measures analysis of multiple ESOP conch group to carry out the reform,the traditional state-owned ESOP and the background,according to the traditional way of the existence of some shortcomings,put forward the feasible optimization measures in the reform of the new period.This article mainly consists of three parts,the first part details the specific way of conch group enterprise data and employee stock ownership plan implementation,and elaborated;the second part is the conch group holding actual situation,through the concrete practice and the way of the ESOP,to discuss the influence of the employee stock ownership plan for enterprises and lack of successful experience;finally the third part of the combination of the conch group ESOP reform has been explored and the relative lack of the optimization measures.This paper details the specific process of ESOP’s ESOP starting from 2003,and calculates the effects and possible shortcomings of several financial indicators indirectly on employee stock ownership plan by using the financial statements of enterprises.Finally,combined with the analysis of the conch group ESOP is worth learning and promotion experience and how to further optimization of the state-owned enterprises,the future prospects of employee stock ownership reform,hope ownership reform in the future is more mature,more brilliant achievements.Through case analysis,enterprise conch group discussion,the author thinks that the conch group ESOP holdings in scope,employee motivation,optimization of corporate governance structure,restraint mechanism,effectively promote the business development of icraft,has made some achievements;but also can see the shortcomings of the traditional mode of reform of conch group according to the current domestic and abroad,better employee stock ownership plan optimization measures are put forward,so as to provide reference for the future of the employee stock ownership of large state-owned enterprises.
