The Case Analysis Of The Impact Of Private Equity Fund On The Corporate Governance Of Small And Medium Enterprises

There is an important link between private equity funds and the development of private SMEs in China.The former can play a catalytic role for the development of private SMEs,while the latter is the necessary soil for the growth of the former.Private SMEs in the process of development are prone to problems of financing difficulties due to some of their defects.The poor corporate governance level is one of these defects,and private equity funds can solve the financing problems of small and medium-sized enterprises to a certain extent as a fund provider.Therefore,the private equity fund can play a role in promoting the corporate governance of small and medium-sized enterprises.It has also become a matter of concern.Because the small and medium-sized enterprises in our country often control the management of the company,lack the perfect internal control mechanism,or lack the perfect corporate governance structure such as the board of directors,the board of supervisors and the shareholders' meeting.This paper mainly adopts case analysis,comparative analysis,literature research and other methods.First of all,we comb the previous research and define the important concepts in this article.Then it analyzes the actual investment cases of a private equity fund in Sichuan,and studies the defects of the corporate governance of the invested enterprises before the investment,and then analyzes the influence of the terms related to the corporate governance of the investment agreement and the corporate governance.Finally,through interviews with relevant project managers,we can know whether corporate governance has been improved after investment.Finally,the case study is summarized,and corresponding suggestions are put forward.Through the study,I believe that private equity funds have an improved role in corporate governance,but private equity fund investors may not pay special attention to the specific conditions of corporate governance when examining the project,but they will make corresponding provisions in the investment provisions to improve the level of corporate governance to protect their own capital security.
