| Currently the government vigorously promote the PPP mode,with a total investment of more than 9 tril ion yuan.in the PPP project will practice in our country.Yet the PPP project operation period is long and the contract is a typical long-term contract,together with the bounded rationality the contracting parties and transaction cost,the PPP project contract cannot cover all the possible situations in the future,Namely the PPP project cannot sign the complete contract of state dependent.The long-term of PPP project contract increase the likelihood of accidents,Even can predict the future,but the forecast is biased,so in the process of the PPP project contract performance,the emergence of uncertainty risk is inevitable,and the flexible is an effective strategy for dealing with the project uncertainty,Especially,The concept of flexible injection contract helps to solve the uncertainty risk.In this paper,based on the theory of incomplete contract theory and project management,using the case analytic method to research the PPP project flexible contract design,and focuses on the viability gap funding model of PPP project study,the main contents are as follows:First of al,determined the applications of PPP model in urban infrastructure of public goods in China,from the public goods theory and project distinguish theory two aspects.Also identified the type of urban infrastructure.to study in this paper.And through the present research situation of contract flexible in contract management,summarizes the ways and mechanism of action on flexible contract,Lay a theoretical foundation for the design of PPP project flexible contract.in the model of viability gap funding.Secondly,this paper analyzes the incomplete contract theory and project management theory under the PPP project contract flexibility design necessity from the research content and research methods,and summarized the research methods of induction in many cases on the basis of literature review,analysis of the case analysis of Shenzhen metro line four phase two engineering,Beijing metro line four,Hangzhou Metro Line one PPP project contract,identify the core elements of PPP flexible contract project feasibility gap subsidies: subsidies mechanism,fare mechanism,passenger flow mechanism,risk sharing mechanism,emergency treatment,force majeure,legal change resistance 7 aspects of contract flexibility,and foundation in the case analysis and literature research,classified into three dimensions: the right dimension,relational dimension and dispute processing dimension.Finally,Combined with the instance,analysis the design principles of PPP project contract flexible,based on the recognition and the dimensions of flexible core elements point for the PPP project contract in the model of viability gap funding.Chipped PPP project contract flexible core elements concise for the following content: rights dimensions flexibility including subsidy mechanism flexible point and price mechanism flexible point,relationship dimension flexibility including passenger flow mechanism flexible point and risk sharing mechanism flexible point,dispute settlement dimension flexibility including emergency treatment flexible point,force majeure flexible point,and modification of law flexible point and so on.In the cross case analysis based on the summed up the feasibility gap subsidies mode under the PPP project contract flexible design principles,in order to will adopt the feasibility gap subsidy mode of PPP project reference when signing the franchise agreement. |
