| China's open capital market has entered a new level,the status of China's economic and financial capital market system in the world,the development of information technology to promote the rise of the direct financing system,the global fund is likely to be pouring into China's capital market,indirect financing system will say goodbye to the golden age,Banks no longer dominate the market,the financial system reform in our country has already entered the stage comprehensively deepen reform.In January 2015,the people's bank of China said the deposit insurance system is about to fall to the ground,it marks the banking industry has entered a market clearing stage,China will open access to private Banks,evolution,break the nature monopoly of state-owned Banks.Therefore,it is of great significance to strengthen the internal control of the bank to meet the regulatory requirements,and to strengthen the bank governance to the stability of our financial security and economic society.Commercial Banks mainly rely on strengthening the functions of the board of directors to improve their decision-making and supervision,thus improving the effectiveness of the internal governance of commercial Banks.Therefore,board governance plays an extremely important role in the corporate governance of commercial Banks.In terms of board governance,the most remarkable bank is minsheng bank.At the beginning of its establishment,Minsheng bank established a better corporate governance structure,clearly and strictly defined the responsibilities of "three meetings" and senior management.This article was based on this background,combined with related literature,on the basis of the first interpretation of the commercial bank's board of directors governance theory and the connotation,related to business performance and their selection of measurement method and index are summarized and induction.Then to our country board of directors characteristics and its related business performance to make reasonable assumptions,collect 16 commercial Banks in China from 2007 to2016,nearly 10 years of relevant data,select the board characteristics related factors as independent variables,use EVIEWS,using panel data regression model is analyzed,through F test and Hausman test,research of commercial bank governance by the board of directors of the five factors influence on the correlation of bank business performance.And to validate the foregoing assumptions,get the following conclusion:the proportion of independent directors and bank performance,both positively correlated relationship between unity and a negative correlation relationship between bank performance,number of board meeting was positively related to relationship between bank performance and behavior,the board of directors ownership and positively correlated relationship between bank performance.Then in view of the case company Minsheng bank's board of directors governance present situation and existing problems are analyzed,and the use of multiple regression of minsheng bank's board of directors characteristics impact on business performance has carried on the empirical research,get the following conclusion: the scale of Minsheng bank's board of directors and a negative correlation relationship between bank performance,Minsheng bank,the proportion of independent directors and positively correlated relationship between bank performance,Minsheng bank's board of directors meeting times and positively correlated relationship between bank performance,and compare the results of two empirical analysis,come to a conclusion.Finally,according to the empirical study conclusion,and respectively from the board independence,the independent director system,the board of directors,the board of directors structure,set up and the professional committee of the board of directors implement equity incentive,etc,put forward for improving the Minsheng bank's board of directors governance and operating performance of policy recommendations and outlook. |
