The Research Of Goodwill In Mergers And Acquisitions Value Evaluation

In October 2015,General Secretary Jinping Xi proposed the term of "supply side reform" in his speech first.The fundamental of "supply side reform" is reforming the subject of supply,and that is the innovation of enterprises.It aims at optimizing the allocation of resources,adjusting industrial structure,improving the efficiency of supply.Thus,promote the steady growth of the national economy.In this background,there are more mergers and acquisitions between enterprises,by this way they can integrate industry resource,achieve synergies,improve the quality of supply eventually.In the background of mergers and acquisitions,it is necessary for the enterprises to assess the value of goodwill.On the one hand,it can determine the price of the transaction by confirming the assets.One the other hand,it is important for managing goodwill effectively after the mergers and acquisitions,maximizing excess returns,and increasing the business income finally.Stand in the angle of the mergers and acquisitions enterprises,this paper analyze the enterprise mergers and acquisitions goodwill value evaluation of related basic theory first,and the main contents include and the concept of goodwill,the enterprise merger and acquisition goodwill and enterprise mergers and acquisitions synergy effect theory.Secondly,this paper analyze the problems existing in the current situation of assessment practice of mergers and acquisitions goodwill value evaluation in our country.As for the problem and draw lessons from foreign experience,choosing excess earnings approach to evaluate it on the basis of the measure of synergies,to set up the mergers and acquisitions goodwill value evaluation model.And then the established model apply to an example of the mergers and acquisitions in domestic,to assess the value of the mergers and acquisitions goodwill,and make a brief analysis and demonstration.Finally,put forward some suggestions to the goodwill in mergers and acquisitions of enterprises value evaluation according to the application of this model.The model established in this paper provide reference for the study of the value of goodwill in mergers and acquisitions,and play an important role in promoting the development of asset appraisal in new era of China.
