The separation of ownership and control rights in modern enterprises leads to the fact that the dispute of control between large shareholders and management is so frequent in modern society.In November of 2011,Shanghai Pingpu Investment Co.,Ltd.,owned by Ping An Insurance,acquired 100% stake of Shanghai Jahwa,becoming the first majority shareholder in replacement of SASAC of Shanghai.However,after a year of cooperation,Ping An,the actual controller have had a contest with the existing management,which being brought into the public gradually and even heat up afterwards.After a series of struggle,Ping An took charge of Jahwa eventually.The contradictions and conflicts between outside capitalist and the management,causing the reflects on the contest of control and corporate governance.Meanwhile,during the process of reformation of state-owned enterprises,how to adapt to capital market and how to maximized the equity of shareholders by optimize the structure of corporate governance are worthy of being investigated.This paper is focused on the transition and conflicts of control power of Shanghai Jahwa.On the basis of timeline,analyze this specific case by using the method of case study.Firstly,describe the profiles,motivations,processes and results of both companies respectively,in order to demonstrate the motivation of reformation and the success of acquisition.Secondly,analyze the impacts on corporate value,ownership structure and financial performance of Jahwa separately to investigate the details of corporate governance,on the basis of four time points,which are the control power of Jahwa being transferred before and afterwards,in the process of those contradictions and afterwards.Last but not the least,in light of the results of this case,some issues during the process of reformation of state-owned enterprises should be paid attention to,including the choice of external investors,the balance system of large shareholders and the board of directors,and how to avoid the conflicts between those two parties,even better,make recommendations to update the corporate governance.
