In order to respond to the government’s call on the market-oriented reform of state-owned enterprises and to contribute to the reform of state-owned enterprise executives’ remuneration,this paper mainly analyzes the necessity,control direction and influence factors of executive compensation from the perspective of internal performance and market value.Based on the statistical analysis of executive compensation of all A-share listed companies,it is found that the pay of state-owned listed companies is much higher than that of non-state-owned executives,and the executive compensation is increasing year by year.Internal performance and market value are lower than the case of non-state enterprises,state-owned enterprise executives still enjoy a higher salary.There is the need for control.And the empirical analysis shows that there is a significant positive correlation between the executive compensation and the internal performance and the market value of the firm,so this paper thinks that the choice of the perspective is meaningful.After deriving the above two conclusions,this paper then studies the balance effect of executive compensation,internal performance and market value from the elements of corporate governance,and give an idea of analysis of executive compensation control of non-state enterprises.In this paper,the author puts forward the corresponding control suggestions in the final analysis based on the full text.This paper is a big innovation in the research of executives’ salary control,emphasizing the control of internal governance elements,realizing the balance between executive compensation and performance to make the enterprise on a healthy development road.
