Equity incentive system,as a kind of system to manage the enterprise,can connect the enterprise owners’ benefit with executives’,prevent the short-term behavior in the process of managing the enterprise,and make the enterprise keep a long-term stable development.Although it’s short when our country introduced the equity incentive system in the 90 s,it developed rapidly.More and more listed companies put it into practice and get wonderful results.In the trend of equity incentive system,the design of it has become a top priority in order to make the best use of it.The thesis focuses on the Great Wall Motor Company Limited and mainly discusses from the following aspects.First of all,the introduction.The thesis mainly introduces the research background and the research significance,the research situation and the review in both domestic and overseas,the ideas and the methods,and the innovation point.Second,the relevant theoretical basis of the equity incentive system.The thesis mainly introduces its concept,patterns,basic elements as well as the four theories.According to the difference between the rights and obligations,it can be classified the model of the equity incentive system.The thesis mainly introduces seven kinds of equity incentive model,and elaborates them.Third,The thesis mainly introduces the company profile and the operation situation of the Great Wall Motor Company Limited,and analyzes the necessity of it.The existing incentive mechanism doesn’t have the enough motivation for employees through the analysis of the corporate governance,the existing incentive mechanism and the features of employees,so it is necessary to design a new one for the company.Four,the equity incentive project design for the Great Wall Motor Company.According to the actual situation of the Great Wall Motor Company and the relevant state institution and laws,the thesis mainly introduces the company take the model of stock options,which means buying their own stock from the secondary market,and combining the market value with the traditional financial index as the appraisal standards of the company performance,then designing a solution of equity incentive which suit the company’s development.In order to ensure the Great Wall Motor Company’s equity incentive solution,the manager should make a relevant safeguard mechanism.All in all,the design of the equity incentive has a great significance,it goes a long way in perfecting thereward mechanism,attracting talent,improving the company performance and making the company have a long-term development.
