Battle Of Control Power Between Founders And Investors

Chinese private enterprise has experienced high-speed development within the continuous development of national economy recent years.As an important investor,institutional investor has contributed a lot to the development of those enterprise.But during this process of cooperation between institutional investor and founders of private enterprises,the conflict between these two sides become obvious gradually.This has led to a battle over corporation control power between founders and institutional investors?In the meantime,the research over the battle of control power is becoming serious.There are three battle of control power in the case which i select.This is a typical case which lasted long and had an important influence on the development of enterprise.In the meantime,as a public company in HONG KONG,the disclosure of information of NVC is more complete,which provide sufficient data source for the research case.Regarding the management control disputes of NVC as a clue,with generalizing and analyzing relevant theoretical theories,this paper has established analysis framework of the company's control disputes based on the prospective of company management.Combined with case study,related trend analysis,ratio basic financial analysis,comparative analysis etc.,this paper put emphasis on the circumstantial analysis of the latter two control struggles and drew relevant conclusions about the case: the roots cause of the enterprise control struggles is the conflicts between the Chinese traditional private corporate management concept and the western modern company management concept;the other relevant stakeholders in the whole control disputes were extremely important and their roles could not be neglected.From the result of the disputes,we conclude that the disputes have badly influenced the company's development.In order to reduce the conflicts between the two different concepts,this paper tries to provide several appropriate suggestions for improvement,such as reasonable planning for financing,choosing outsider investors more carefully,constantly learning from different corporate management concept,etc.By taking relevant measures positively,we can maintain the stability of the enterprise control right,and healthy developing environment of the enterprise.
