The Study On The Relationship Between The Characteristics Of Independent Directors And Corporate Performance In Our Listed Tourism Companies

World economic system have a huge change since the 20 th century,the modern joint-stock company becomes the dominant form of the company,it is marked with the separation of ownership and management rights,so it produces a series of agency problems,thus the us-led western countries adopt the independent director system in the corporate governance.Our country introduced and established the independent director system,but in many listed companies in China,it has violated the original intention of setting up the independent director and made it useless,so it is urgent to improve the situation.With the rapid economic development of our country,the radical development model leads to various environmental problems,it hinders the economic development and does harm to people’s body,thus the transformation of economic development mode has been imminent,tourism is a representative of the green sunrise industry and a new growth point of China’s economy,so tourism listed companies as the important carrier,the study of them is of great significance.In this article,on the basis of the importance and particularity of the tourism listed companies in our country,we have to study the relationship between characteristics of the independent director and corporate performance.On the basis of illustrating the theoretical basis and defining the relevant concepts,the article puts forward six research hypotheses and uses four empirical analysis method to do study on the relationship between characteristics of the independent director and corporate performance according to the internal logic relationship between them.At last,according to the empirical results,this article puts forward reasonable suggestions in order to promote the development of the independent director system.
