Affected by the international situation and our country's economic structural adjustment, many business organizations cannot adapt to the current economic development and be facing the risk of being out of the market because their organization and management is backward, the economic performance is in recession or long-term losses, they are engaged in declining industry or other reasons. In order to survive, seek economic growth point and new development opportunities, the business organizations are in urgent need of transformation and upgrading so that they can enhance their competitive advantage and keep sustainable development. The success of the transformation and upgrading to reverse the situation, what kind of transformation and upgrading of development suited to their own are the main problems faced by enterprises.Yangzhou A Company is a traditional state-owned enterprise engaged in automotive diesel engine production. Enter in the 21sh century, the management of the company had become worse and worse, that had been reached loss edge. Then the company decided to asset restructured with Weichai Group which was the first in the industry and build a new factory, expanded production scale in order to improve the operation of the company. But drawbacks rooted in the company still had not completely resolved that obstacle to the development of the company seriously. This paper is based on the theory of life cycle, strategic management and value chain, research a way to development strategies of A company's transformation and upgrading. It uses statistical analysis method to analyze the sales and share of the automobile and diesel engine industry, and the status of A in the diesel engine industry. It uses the comparative analysis analyze A company's industry environment and competitors' competitiveness. From the aspect of the market share, the company profit level, R & D capability etc, it describes there be a big gap between the operation and the development of A company and the industry's leading enterprises. Then by using the SWOT matrix analyses, this paper combines the external environment and internal resources of A company to analysis of its core competitive power and point out four major problems those are investment driven, innovation strength is not enough; object oriented management and lack human oriented management; pay attention to the number of products, low economic efficiency; backward marketing concept and mod. Then it analyzes the cause of the problem from the aspects of management idea, management team, quality cost control and marketing management. Finally, it put forward countermeasures those are enhancing innovation ability, speeding up the construction of talents, strengthening quality cost control, innovative marketing strategies. The countermeasures provide specific suggestions for A company could successfully implement the transformation and upgrading, improve the competitiveness of the industry.Due to the increasingly fierce competition in the diesel engine industry, the phenomenon of enterprises and the phenomenon of merger reorganization continues to appear. To implement the transformation and upgrading, improve the core competitiveness is the enterprises'the only path for survival. This article hopes to study the problems and countermeasures of A company's transformation and upgrading, to provide a strategy for the transformation and upgrading of other diesel engine enterprises. Simultaneously, this paper can proposes reference for other traditional state-owned enterprises to prolong life, promote competitive advantage, and get a capacity for sustainable development.
