Worldwide, the numerous mixed mergers and acquisitions among banks, securities and insurance are increasingly common. As China's accession to the WTO and the gradual improvement of the capital market, large banks, insurance and securities companies have begun to try to establish a financial holding company. In 2009, China's Ping An announced the acquisition of Shenzhen Development Bank, opened the prelude to this stock merger wave. Under the approval of Securities Regulatory Commission and China Banking Regulatory Commission, China Ping An becoming the first person to eat crab, and have the opportunity as the first insurance institutions that merger national commercial bank.It must be seen in the enormous merger opportunities, but also faces enormous risks and crises. Motivation, valuation of the target company as well as synergies are studied as the base of discussion and analysis.
