On The Access Rights Of Shareholders Of Limited Liability Companies

With the development of economy,more and more enterprises have the separation of ownership and management.Many shareholders no longer manage the company themselves,but employ professional managers.By exercising the right of inspection,shareholders can timely and accurately understand the operation and management of the company,and thereby protect their legitimate rights and interests by exercising the rights of shareholders.At the same time,this also has certain supervisory role to the management of the company,prevents the company management to harm the company and the stockholder’s rights and interests.Through the typical cases,it is found out the disputes in the judicial practice of the shareholders’ right of inspection of limited liability companies,and references the research results and legislative experience of these disputes at home and abroad.And through the empirical analysis of 75 cases in 2015--2017 in Heilongjiang,Jilin and Liaoning provinces,studying the system of shareholder inspection of China’s limited companies.Through the concrete case of analysis of the current limited liability company shareholder inspection rights debate,these disputes are mainly concentrated in two aspects,on the one hand is access rights subject qualification problem,on the other hand is the scope of access rights problem.For the qualification of the right subject,that is,the identification of shareholder qualification is discussed in detail.At the same time,to the problem of access rights scope mainly accounting vouchers can consult the controversy,this paper analyzes the controversy,and puts forward the scope of the right of shareholders to consult the accounting vouchers shall be included.It is hoped that the discussion of this paper can play a certain role in the improvement of the shareholder’s inspection rights system of China’s limited liability companies.
