Dual Representative Litigation System Research

Our country is in the process of enterprise group development.The transformation of company form from the initial single plane structure to the hierarchical structure.The transformation of corporate form challenges the existing shareholder representative litigation system,so it is necessary and urgent to establish double derivative suit system in China.Double derivative suit system is an important link to improve corporate governance structure and protect minority shareholders’ rights.First of all,this paper differentiates the related basic concepts,introduces the development process of double derivative suit system,and analyzes the nature of double derivative suit.Secondly,it demonstrates the necessity of establishing double derivative suit system in China.Thirdly,introduce the extraterritorial law,in order to provide reference for the construction of double derivative suit system in China.Finally,it demonstrates how to construct the double derivative suit system in China,and puts forward specific suggestions on the applicable conditions,the subject of litigation,the pre procedure and the system of shareholder representative litigation in China.
