Research On Legal Issues Related To Equity Inheritance Of Limited Liability Companies

How to inherit the ownership of limited liability company has gradually become the focus of attention and discussion。Although our country’s Company Law has made the relevant provisions of the equity inheritance,but its provisions are still relatively simple and lack of operational rules.In practice,there are still many problems in the practice of equity inheritance dispute,need to be resolved.In this paper,the theory of the system is studied,the ownership of the inheritance,the mode of ownership and equity inheritance procedures,and so on.This paper also analyzes the special problems that may exist in the practice of equity inheritance,and puts forward some solutions.Finally,this paper through the comparison of domestic and foreign equity legislation,the legislation of our country’s equity inheritance is put forward.There are four chapters in this thesis,The first chapter is the basic theory of equity related,the main analysis of the nature of the equity,the difference between equity and shareholder qualification,to explore the theoretical basis for the legal issues of equity inheritance;The second chapter mainly studies the basic legal relationship of equity inheritance,through the analysis of the object and the main body of the equity inheritance,to explore the issue of equity succession process;The third chapter mainly discusses the role of the articles of association of the company in the equity inheritance,and to explore the preventive effect of the articles of association on the inheritance of stock rights;The fourth chapter discusses the existing problems in the practice of equity inheritance,and then analyzes the shortcomings of the existing provisions of the legislation in our country,and puts forward some relevant suggestions.
