Equity incentive in the modern enterprise system is regarded as a useful tool to solve the principal-agent problem, it allows the operator to participate in decision-making by the way of equity grant, to ease the conflict between the interests of the principal and the agent; to avoid the operator short-sighted behavior, to enable operators to work hard for the long-term development of the company.In recent years, Chinese enterprises have gradually increased the application of equity incentive. but they lack a lot of practical experience. In addition, At present, the domestic capital market is still not perfect, Many companies have some problems in the application of equity incentive process.So it has some practical significance to research and analyze this field.This paper is divided into five parts.The first chapter is the introduction, Mainly includes the research background and significance, domestic and foreign research status and so on. The second to fourth chapter is the core part of the thesis, is a case study of Qingdao Haier's three equity incentive plan: In the second chapter, based on the summary of the content of the three complete equity incentive plan, evaluate the project design from different angles, found that through continuous adjustment and improvement, the company's equity incentive plan is gradually perfect; The third chapter introduces the results of the program and analyze the effect of the equity incentive scheme from two aspects: financial and non-financial, find the conclusion is that the implementation of the three equity incentive program is more ideal; And compared with the scheme of GREE electric appliances equity incentive plan; The conclusion is that the equity incentive of Qingdao Haier has a great advantage compared with the GREE. The fourth chapter points out the problems existing in the incentive plan, In view of these problems, this paper puts forward the solution and summarizes the inspiration of case study. Finally, the fifth chapter is a summary of the full text and points out the deficiencies of the study.
