In recent years, "Privately Offered Fund" as a new developing situation, has become an important part of the financial markets. The process of the Private Offered Fund in terms of product release has become more faster. In China, the Private Equity Fund has been study a lot, but less research on Private Offered Fund, there is insufficient knowledge and still faces institutional constraints, which leads to many problems. To develop the Private Offered Fund in legal way, not only should we enrich the diversity of investment instruments, change the competitive landscape of the market, but also to effectively guard against financial risks, to meet the needs of high net worth value of domestic investors, on the other side, it will also play an important role in promoting in China’s stock market and the national economy development.In this paper, the author combines practical work experience in the financial area of several years, and mainly elaborated through the seven aspects of the Private Offered Fund current situation.First briefly introduce the concept of Private Equity Funds and an overview of the types of Private Offered Fund. The second part analyzes the developing process of the Private Offered Fund, describes the focus of the current development of Private Offered Fund, while using the data analysis, which briefly described and analyzed the data as of the end of 2014, that includes the products, the investment consultants, performance situation, investment strategy, issuance and subscription, mode of operation and the overall characteristics and so on. Then analyzed the domestic and international legal and regulatory situation, which contains the situation of the US’s and the UK’s. The fifth part focuses on the development issues and causes that exist, including low transparency, risk controls, as well as violations of the parties imperfect regulatory system and other issues. The sixth chapter focuses on the difficulties and bottlenecks. At the end, we should learn some experience of foreign countries and make recommendations on the development of Private Offered Fund.
