Under the background of economic globalization, international equity financing develops rapidly. For a company, the internationalization of capital has become one of the important symbol of its success. In our country, more and more enterprises choose overseas listing.On September 19, 2014, Alibaba was officially listed on the New York stock exchange, and became the world’s biggest IPO. Its listing also makes alibaba the Internet companies ranked after Google and domestic enterprises overseas listing research become hot spot. At present, considering the enterprise financing is limited by domestic bank loans and securities regulatory commission strict cumbersome approval process, overseas capital market become a good financing channel of China’s enterprises.Compared with those listed at home, companies listed abroad exsit a lot of differences. For example, the company’s disclosure is more open and transparent, regional cultural differences cause information asymmetry between listed companies and overseas investors. What’s more, enterprise shareholders increase and equity is more diffused.This paper mainly studies the reasons of why domestic enterprises choose to be listed overseas, the impact of overseas listing on the enterprise operating performance and market performance through combining the current situation of Chinese Internet companies in detail. Finally, the thesis makes suggestions to Internet companies and government agencies in China. The suggestions are beneficial to the Internet companys to deepen their comprehensive understanding of overseas listing, and of important theoretical significance and practical guidance to Internet companies to be overseas listed smoothly.
