In the nineteen sixties and seventies, several investors who were willing to get high returns under high-risk invented venture capital, which is essentially different from previous mortgage investments. In recent decades, the venture capital has developed rapidly, and the expected purpose of venture capital is to access higher yield. The term of'due diligence'is used to refer to a series of activities to sift and evaluate the most suitable project by venture capital companies. The most suitable project is the project which can reveal critical informations in the venture capital, reduce the risk of asymmetry informations effectively, and provide exact and plentiful realistic basis of correctly judgment for venture capitalists and scientific behavior decision-making.Firstly, in this dissertation, the conceptual framework of venture capital and due diligence been defined. Through briefly review the development and related researches of venture capital and the due diligence, summarizing the venture capital industry development in our country, the basic present situation and problems, and research contents of due diligence. Then based on the study of the related contents of due diligence, the study is on the due diligence of venture capital of the basic principles and strategies. After that, the due diligence of venture capital is described theoretically. Discusses the necessity of the due diligence part in the venture capital,then detailed discussion the due diligence part in the venture capital in three aspects:Enterprise management and evaluation theory (SWOT analysis?PEST analysis?Porter's Five Forces Model?balanced scorecard analysis method);Improve information asymmetry;Consider ways to exit from the venture capital(public offerings, acquisitions, buy-back and bankruptcy liquidation). Finally, according the theory of the case in accordance with the foregoing analysis, the due diligence of the company's venture capital H is step-by-section analyzed both theoretically and practically, hoping to play a reference.
