Studies On Construction Company Operation Pattern With Distinctive Corporate Personality About The Legal Effect From Chen’s Case

As the development of construction industry,there are many real estate development companies in China.Some of them belong to limited company.Some construction company regulated that the company take some management fee from the project and the project is responsible for the construction work and it’s own profit or losses,and all projects should operate independently.Therefore,we need to analysis the legal effect of the project which is subordinate to a construction company operate independently,from the point of the current legal system.Combining the theory of civil and commercial law,enterprise autonomy theory,I analysis the construction company’ personality and the other legal issues involved in the case.Through the comprehensive analysis of the specific case,research the controversial focus of the case,I put forward some personal suggestions.This article is divided into three parts.The first part is the basic introduce about the case and the controversy:Mr.Chen sue Ruixing Limited Company for the project payment.And the focus of the case.The second part is the analysis of the case,as the main part of this article.First of all,I discussed a focus of controversy:construction company operation pattern with distinctive corporate personality about the legal effect;the affiliated relationship and legal effect.Secondly I expound individual partnership contractor with no practical investment behavior,the contractor’s identity cognizance;when construction company violated the interested party’s right,shareholders’ conference about the force of law.The third part is my personal thought and advice abut this case.My purpose is to solve practical problems for this case.
