With the booming development of the worldwide internet finance, The equity crowdfunding which is the typical format of internet finance also emerging in Chinese horizons. After nearly five years, the equity crowdfunding has become an important finance tool to help small and medium companies for large-scale funding. Compared to traditional equity financing, the equity crowdfunding has more extensive publicity and better dissemination of information as well as higher investment efficiency and other advantages, thus become a choice of financing by more start-up small and medium companies. As a new thing, however, there must be conflict and contradiction with the traditional financial markets, the most obvious manifestation is the lack of supervision in equity crowdfunding in accordance with national laws.By literature research, comparative analysis and empirical analysis, on the basis of clear equity crowdfunding concept, legal nature, and the general flow of equity crowdfunding development of the status quo, analyze typical legal issues of equity crowdfunding showing in our development process, including conflicts with the "Securities Act", "Company Law" and other relevant laws, the credit risk of equity crowdfunding platform, protection of shareholders' rights and so on. Finally, I put forward legal measures for those legal issues such as improve relevant laws of equity crowdfunding, strengthen the supervision of equity crowdfunding platform, protect shareholders' rights according to law.
