| In today’s corporate operations,the majority of the capital has become the main way the shareholders will make a decision.This way,in order to adapt to the rhythm of the development of today’s society,but also indirectly led to the control of large shareholders and the exclusion of minority shareholders.The emergence of the system of the claim right of the dissenting shareholders can provide effective relief way for the minority shareholders to a certain extent.The human nature and the closeness of the limited liability company determine that the transfer of shares is limited,and it can not be as flexible and free as the share trading of the stock company.Therefore,it is very important to study the system of the claim right of dissenters.In this paper,through the analysis of the theory and the legislation of our country,and with reference to the foreign advanced theory and legislation,we hope that it can be used for the system of the right to buy back the stock right of the limited liability company in our country.This paper is divided into four parts:In Chapter one,the author analyzes the concept and theoretical basis of the shareholder’s right to repurchase of the limited liability company;In the second chapter,the relevant provisions of foreign countries are summarized and analyzed,and the analysis of which is suitable for our country is worthy of our reference;In the third chapter,the author makes a comprehensive analysis of the current situation and shortcomings of China’s legislation;In the fourth chapter,the author makes some suggestions on the problems in the third part. |
