The company secretary system was originated from England.With the gradual development of the economy,the company secretary had also gradually changed from an ordinary administrative staff to an indispensable organ of the company,whose duties and rights were also expanded.With the rise of the company secretary in the company's internal governance rising,the company secretary system had gradually adopted to other common law countries or regions like America and so on.And then,it had also gradually spread to a number of civil law countries and regions,and played a more and more important role in corporate governance and operations in various countries.Transplantation of the company secretary system in China is the result of domestic company listed overseas.Since the secretary system was introduced in China in 1994,it has existed for more than 20 years in our country.In the past 20 years,the company secretary system has made a great contribution to corporate governance structure in improving and optimizing in China.Since the company law which was revised in 2005 clearly defined company secretary's legal status of the senior management of the company,the system of company secretary in our country has formed a complete system of preliminary.Since the time of the introduction of this system is short,there are still many shortcomings in Chinese company secretary system.For example,the legal level of this system is not high enough,the deviation of value orientation and lack of market oriented professional system.It made company secretary have high practicing risk.And this situation is not conducive to company secretary's work carried out.In the long term,it is neither conducive to realize efficiency value and security value,nor beneficial to companies operating and people's interests.This paper introduces the basic theory of company system at first,including the history of the development,function,value and so on.Then it analyzes the reality of company secretary in our country and discusses the problems and causes of this system deeply.And then,we can get inspiration from their successful experiences by comparing the legal framework of the system in common law countries.Finally,the paper offers some suggestions to improve the company secretary system in our country,such as improve the legislative level,adjust value orientation and so on.The author hopes to make some contributions for improving the company system in our country.
