The Studies Of Private Colleges Corporate Governance

The development of the private colleges not only meets the needs of the broad masses for educational resources, but also promotes the socialist cultural undertakings, meeting the needs of a large number of emerging professional markets. Despite the development of the private colleges, it is necessary for us to envisage the obstacles it faces during development.The corporate governance of China's private colleges not only faces many internal problems,such as nonstandard constitution construction, fuzzy property rights, and the lack of independent oversight body but also have external problems like unsound legal system and unreasonable government regulation.Offering good solutions for the above-mentioned governance problems not only helps administrators develop the concept of rule of law,but also can promote democratic management, co-management and the management of the universities according to the law.In this paper, the author explains the problems of the governance and puts forward some solving measures from three parts base on the regulation status of Changchun private colleges.The first part, the author provides theoretical analysis for the private colleges from the legal attribute and constitution. And the author point out that the essential attribute of private colleges is corporation aggregate. The second part, the author mainly analyses the problems of the private colleges in the corporate governance structure on account of the investigation and analysis.The third part, first of all, the author puts forward the principles to be followed in the area of governance.Secondly, the author analyze the adjustment and perfection of the private colleges'internal structure and legal relationship.For example, we can rebuild the legal relation of property between the investor and private colleges. Finally, the author analyzes that how to improve the exterior government environment.Through this study,I hope the governance of the private colleges can achieve a "good governance" and "rule of law" state.
