The implementing of the equity incentives in the listed companies has been mature in the past nearly 60 years. The greatest advantage of equity incentives is turning the managers and shareholders into a community of interests, increasing the shareholders’wealth, while also maximizing the benefits of the companies, which is significant to the long-term development of the enterprises. In the progress of modern management, the non-listed companies increasingly focus on attracting and motivating talented person, so equity incentives have became a common practice,but there are some deficiencies in the domestic related studies. Therefore, the focus of this paper is to research the policies and mechanisms of the non-listed companies’ equity incentives, and build a scientific and effective performance evaluation index system of its managers, hoping to play a guiding role in the non-listed companies’ equity incentives and performance evaluation.Firstly, this thesis describes the overview about the managers equity incentives. Secondly, the outline of the managers equity incentive of the non-listed companies is explained, including the main equity incentive tool as well as their advantages and disadvantages. The key is to model the managers performance evaluation index system based on Balanced Score Card(BSC) properly, scoring each index and its weights with Delphi and 360 scoring method, also conversing the quantitative and qualitative indicators into an unified standard. Then the final normalized results are used to assess the management personnel performance. Finally, this thesis studies the specific design of the management equity incentive plans and the managers performance assessment programs, based on the current situation of the non-listed companies BC.The research, based on managers’equity incentives of the non-listed company, has a wide range of practical significance in our country. It provides not only a better motivational tool to retain and attract the talented person, an important guidance to improve the enterprise management level, but also a way to promote the rapid and healthy development of our national economy.
