State-owned enterprises and state holding enterprises are important cornerstones of the national economy. They control the national economy, playing a leading role in economic development. They are the main force in China’s participation in the fierce international competition in the market. Since the reform and opening up, China is seeing a lot of the emerging industry.The market increasingly competitive. State-owned assets distributed not only in people’s livelihood monopoly industries which are in relation to the national security (such as postal services, chemical, military, etc.), but also in the distribution of the service industry and other competitive industries. During the process of economic transformation, in order to meet the complex market environment, State-owned enterprises containing a series of special, complex financial issues:unclear property rights of state-owned assets,the imperfect financial governance structure of company, state-controlled listed companies shareholders’ ignorance the legitimate rights of minority shareholders occupation, lack of effective protection of the interests of creditors and so on. These problems seriously affect the efficiency of the governance of listed companies. It is imperative to address these issues. Financial governance theory is the product of rapid economic development and growing level of information technology.Financial governance plays an important role in morden enterprise. Therefore, to improve the competitiveness of state-owned enterprises and the efficiency of its governance, to adapt to the market laws of economic development, we must pay attention to financial management. It is necessary to improve the status of the financial governance and enterprise development do not match.In this paper, by using the normative analysis and case study methods, a state- owned holding listed company W, which is in logistics industry, is taken as an example.From the perspective of the main financial power configuration, the financial governance of enterprises are introduced. And to solve these problems, improvements strategies are suggested. This case study of specific applications of financial governance in Group W, promote the development of Group W, help enrich financial governance theory and the theory of corporate governance and also provide some new governance ideas for Chinese developing state-controlled enterprisesa which are in competitive industries.Based on the the study of Group W Finance Governance implementation, these conclusion are drawn that the major shareholders having too much financial governance power, the loss of minority shareholders Financial Governance, low participation creditor financial governance, internal control situation of serious financial governance and so on. To solve these problems, some suggestions are given from the fore aspects- improving the state-owned assets management system, a balanced ownership structure, increase stakeholder oversight authority, optimize the organizational structure. Among them, the state-owned assets management system can be improved from the improvement of management of state assets, of state-owned shareholders incentive mechanism, and of the establishment of external supervision system of state-owned shareholders. Stake and shareholder restructuring, strengthening the role of institutional investors, shareholder voting system reform are three suggestions for optimizing the structure of equity strategy. Improving the mechanism of action of minority shareholders and increasing the supervisory powers of bank supervision authority can enhance stakeholder. For the organizational structure in W Group, optimization its organizational structure and strengthening internal oversight effectiveness can be achieved from perfect board structure and strengthening oversight functions both supervisors.
