The listed companies in China have been facing the constantly changing competitions and challenges, which are due to the change of the global economic environment, as well as the booming development of the economic integration. In order to enhance their competitiveness, the enterprise realized that they should strengthen the risking management to build and perfect the internal control system when facing such a complex external environment. In 2004, the COSO committee promulgated the "enterprise risk management-integrated framework" (COSO-ERM), for the first time converting the internal control from "the concept of process" to "the concept of risk", and which was further illustrated the the important role of internal control in enterprises. The internal control of the listed companies set up later in China, and the consciousness is relatively weaker. The understanding of the internal control is not correct within many enterprises. To the understanding of internal control is to mention to the rise to the point of the risk management, and the complex economic environment is not only brought various risks to China’s listed companies.It has been appear very important that the listed companies had problems of internal control. In the present work, firstly, we chooses the COSO-ERM framework to analyze the present existing problems, and the perspective of risk management to help enterprises improve their internal control. Through the method of literature review, case analysis, this paper reviewed the research and made an overview about the relevant theories of the COSO-ERM domestic and overseas on the basis of the risk management framework, and the eight elements of internal risk management environment, which is identify issues, goal setting, risk assessment, risk response, control activities, information and communication, supervision. Secondly, this article selected the Zoneco Group case for analysis. It has been fonud that there are big problems of internal control in Zoneco Group by using the COSO-ERM framework. On the other hand, an internal control framework has been built basing on the COSO-ERM framework to the case enterprise Zoneco Group. It is divided into eight parts, which are the perfect internal control environment, clear goal setting, comprehensive recognition, scientific system of risk assessment, flexible and accurate risk response, sound control activities, sufficient and timely information and communication, and effective supervision, respectively.
