For Chinese enterprises, this is an era of growth opportunities, in which they occupy a more favorable position in the industrial chain. Cross-border mergers and acquisitions have been used by Chinese enterprises to become bigger and stronger, and even form the new boom of mergers and acquisitions. However, Chinese enterprises are also faced with various challenges and the not all the performance of M&As meet the original target. Whether the M&A activity succeeds or not is closely related to the enterprise’s own Cross-border M&A’s capability. Therefore, we need research the Cross-border M&A’s capability from academic point of view.As a latecomer in the field of Cross-border M&A, Chinese enterprises are still in the exploratory stage. We should focus the attention on how to carry out Cross-border M&A and how to achieve the desired target. This paper takes Cross-border M&A’s capability and performance evaluation for the study. Firstly, study the related theory about Cross-border M&A’s capability. Then followed by Zoomlion case study, verifies the theory of Cross-border M&A’s capability and explore how to build their own capability in Cross-border M&As for Chinese enterprises.Unlike most empirical studies, this paper is a case study, which deeply analyze the Cross-border M&A’s capability and performance evaluation for Zoomlion. It not only has a certain depth and progress in the theory side, also provide a clear picture of operation mechanism of Cross-border M&A’s capability for, which will help Chinese enterprises enhance their capability of Cross-border M&A, explore the successful road of M&A and better implement the international strategy.
