With the rapid development of IT and the increasing global competition, enterprises have actively or passively to implement strategic transformation to gain a competitive advantage. The transfer and sharing of knowledge resources can continue to enhance the overall operational efficiency and core competitiveness. However, it also can make the firms face knowledge transfer risk. By now, this question has not been concentrated. Therefore, it’s meaningful both to enhance the overall operational efficiency and the improvement of transforming enterprises to the further development.This paper used the theory of knowledge in related fields, including knowledge management theory, risk management theory. Using scientific research method--BP neural network, standing on the shoulders of previous studies, using " research on the risk of external knowledge transfer of transforming enterprises based on the BP neural network " for the topic, and following the clue of the " risk identification-evaluation- prevention ", research work carried out as follows:First, through the literature regression, this paper put forward the hypothesis; secondly, used relative data and SPSS to recognize the main risk factors, built the index system; then, built a risk assessment model based on BP network; finally, put forward a series methods to prevent and control the risk.Conclusions of this study include:(1) identifying 17 risk factors that affecting external knowledge transfer of transforming enterprises;(2) making the 17 risk factors breakdown into the 5 key risk factors of “ the risk from the participants, knowledge characteristics, intellectual property, internal environment and transfer modes ”;(3) by the way of questionnaires to get 48 groups sample data, combining with BP neural network modeling principles and steps, and constructing a typical three-tier network model with 17 input layer neurons, 8 hidden layer neurons and 1 output layer neuron;(4) putting forward the series countermeasures to prevent and control the external knowledge transfer risk.
