| The marketing competition is becoming increasingly fierce.In order to expand the scale of production, reduce costs, and improve cost efficiency, it is inevitable for enterprises to merge and acquire. However, after enterprises merging in form, it does not mean that business will run smoothly. In fact, the success of culture integration of enterprises has direct influences on the enterprise merges. If the cultural conflicts between two enterprises did not get solved, it will increasingly deepen the contractions and expand the problems, which will bring failure to enterprise merge in the end.Therefore,it should not only pay attention to the business level of enterprise, but also to the cultural level. In order to ensure the smooth implementation of the corporate culture integration of M&A, M&A business only risk recognition and measurement of culture in the process of integration of the factors of uncertainty, and then take the correct control strategy to the risks, in order to ensure the smooth implementation of the corporate culture integration of M&A.Based on the analysis of relevant theories of enterprise M&A and enterprise culture and so on, this study tries to identify the possible risk factors of cultural integration process of mergers and acquisitions of enterprises through the construction of risk-measurement model to measure the risk factors, and then puts forward the cultural integration risk control strategy. The first part is the detailed analysis of the domestic and foreign related literature review on corporate culture of mergers and acquisitions, which makes up the theoretical basis for this study. The second part summarizes the theory of cultural integration, introduces the related theory of enterprise merger and acquisition, and integration of enterprise culture, and analyzes the significance. The third part is the risk recognition of corporate culture integration.Corporate culture integration of M&A risk measurement model is constructed from several aspects, which laid the foundation for the following analysis. The fourth part is the corporate culture integration of M&A risk measure. This study is based on the discussion of measurement method, and makes use of the analytic hierarchy process to the specific measure. Risk identification is mainly from the cultural differences,cultural adaptation, cultural integration, and cultural measures to analyze the four risk factors; risk measure of cultural integration mainly uses the multi-level fuzzy comprehensive evaluation method by establishing the model to evaluate the riskfactors. The fifth part is mainly from the pre-merger culture assessment, choosing the mode of integration, cross cultural learning and coordination with other integration relationship proposed cultural integration risk control strategy.In this paper, based on the cultural integration of enterprise merger and acquisition risk identification, measurement and control, response to the development of the cultural integration strategy of risk control, in favor of the rich culture of China’s M&A integration theory. In order to provide practical guidance to improve the efficiency of corporate mergers and acquisitions, cultural integration of risk control,this paper tries to promote the success of M&A. |
