Listed companies are at the forefront of enterprise reforms, corporate governance of listed companies are highly related with the performance of company and the development of capital markets in China. How to improve and raise the level of corporate governance of listed companies and how to solve the imbalance of the corporate governance structure and governance mechanisms is becoming the focus of capital market in China. Corporate governance is related to the interests of shareholders and stakeholders of the company. It is necessary to ensure profit purposes of investors, make the operator functioning well and balance all the stakeholders’ interests. Perfect the corporate governance structure of listed companies is very important to all aspects of the listed companies.In the view of the importance of corporate governance for listed companies, this article start from Xingma ’s governance structure and analyzes the problem of Xingma corporate governance structure and give some suggestions for Xingma company. Through the field research of Xingma and compare the corporate governance before the acquisition and after the acquisition. Analyzing its defects, problems, the cause of the problem to improve the corporate governance structure. Give some proposals to improve Xingma corporate governance structure as well as other listed companies. Through reading some foreign books on corporate governance, visiting Xingma companies and other listed companies in the same industry, compared them and understand the governance structure of listed companies in the same industry. Thus find strengths and weaknesses of Xingma on it’s corporate governance structure. By comparison with the governance structure of listed companies in domestic construction machinery industry, considering the actual situation of Xingma ’s pre-acquisition governance changes, formed my unique perspective of corporate governance.The contents of this article are as follows: The first paragraph is the introduction, which describes the purpose of the study, lack of innovation and researches both at home and abroad in the area of corporate governance. The second paragraph is about the corporate governance of Xingma before the acquisition, mainly from four aspects including shareholders, Board of Directors, Board of supervisors and inner control system. The third paragraph is focusing on the problems of corporate governance during the acquisition. The fourth paragraph is about the corporate governance of Xingma after the acquisition, also from four aspects including shareholders, Board of Directors, Board of supervisors and inner control system. The fifth paragraph is the analysis of corporate governance of Xingma by comparing it before and after the acquisition, which also extends to the entire corporate governance of listed companies, Finally, are the acknowledgments and references.This paper mainly use qualitative research methods, combining theory with practice, take Xingma as an example, also using data analysis and literature review methods. This innovation is that I can get the access of some inner material because of my involvement in Mergers and acquisitions of Xingma, which is critical to draw the conclusion in the end.
