The Project Design On Financial Integration Of HM Technology Merges QH Machine

Nowadays, our country is into an important strategic period, our economic market enters into “The New Normal”. Growth is slowing, structure is optimized,development pattern is upgraded. However, China’s merger and acquisition market, is not influenced by the overall economic downturn, is still active. According to statistics, in 2014, the Chinese m&a market happened a total of 3546 cases of trading.Compared with 2013, up 44.28%. The transaction value up to 987.4 billion yuan,compared with 2013, it raised 48.44%. By comparing the two years’ data, it is not hard to find that our country is tend to open overseas market, at the same time, private enterprises launched by mergers and acquisitions are also catch up with state-owned companies.Mergers and acquisitions can realize integration of resources, help enterprise get rapid development in a short period and promote enterprise’s core competitiveness.Although m&a in our country is full swing, but the result was dissatisfied, the number of achieving the goal of m&a enterprises is always very few. Investigate the reason,mainly because of ignoring the financial integration in the process of mergers and acquisitions. The importance of financial integration to m&a is evident, lack of financial integration will lead to enterprise operating disordered. Therefore, Research on financial integration after the merger not only promote the development of merger integration theory, but also has guiding significance to our country’s merger case.This paper is based on the capital market theory, strategic management theory,organizational behavior theory and process theory. From the perspective of traditional m&a motivation, the author takes HM science company merges QH machine company as an case to analyze the reason of m&a, use the asset value method and income approach to assess the value of the QH machine company, according to the relevant financial indicators to analyze financial condition of the QH machine company, and design the financial integration scheme which is include integration target, integration thread and integration content. At last, combine with the case get further analysis on how to implement the integration scheme, including asset integration, debt consolidation, accounting personnel integration and management integration. This paper aims at providing a train of thought on financial integration after m&a for our company in the future. The innovation of this article has mainly the following two aspects: the first one is the case happened recently, was not completely end, it can provide some piece of suggestions to HM science company. The second one is that the theory of financial integration after m&a in our country needs to get deep research, so this article tries to make contributions to the the further research.
