The Executive Effect Of Independent Director System Of Listed Company On Which Impacts The Quality Control Of Accounting Information

Independent director system is designed to improve corporate governance of listed companies in China, witch curbs the concentration of Listed Companies, a high internal control an oversight mechanisms and other damage behaviors of small shareholders, forming an effective supervision and control effect on large shareholders.After all, independent director system originated in the western developed countries. From the introduction of independent director system in China until now, the "localization" process is still being widely contested. Therefore, the research of independent directors’ effectiveness of listed companies is necessary. According to the theoretical and empirical analysis of the results, we try to reform and improve the system of independent directors.This paper analyzes China’s "independent directors exercise initiative first case in detail. Which is Leshan Elec Power Co,Ltd. independent directors events, and consider the statistics and analysis with our current independent directors’ performance, a clear mandate for oversight of independent directors are playing an important role to supervise the quality of accounting information; And there are many defects in the construction of the current independent director system in China. These defects not only weaken the effect of the independent directors to perform their duties, but also hindered the supervision of the quality of accounting information by the independent directors.In order to solve these problems and defects, this paper put forward a series of constructive suggestions to improve the future of our independent director system.
