Corporate governance structure, also known as the "Corporate Governance", is animportant international issues. It reflects not only the theoretical basis for the generalmanagement, but also different characteristics because of cultural background, legal systemand level of capital market development. In China, the corporate governance of ruralcommercial bank have a great difference with the state-own banks and the nationaljoint-stock commercial bank in result of historical differences, management system andownership structure. Only continue to explore in practice, can we set up "fit" corporategovernance of rural commercial bank.The main rural financial institutions started reforming from2003, its system selectionfinally break the "cooperative" or "stock" argument, determined the direction---joint-stocksystem. As the main service agencies of the rural economy, Hebei province encourage eligiblethe rural credit cooperatives to turn into the rural commercial bank after clear assert andproperty rights. Also the rural commercial bank made a great progress, it’s inefficiency ofmanagement caused widespread concernChina experiences uneven economic development, the rural commercial bank as localsmall and medium organizations mainly service the county economy, whose developmentwith a strong local color. In Hebei province, due to the weak agriculture infrastructure, thelow level of agricultural industrialization, the extensive agricultural production, the lowdegree of organization of farmers and social services, Hebei province rural commercial bankhave many differences with other commercial banks in developed regions or undevelopedregions.This paper summarizes the corporate governance problems of Hebei province ruralcommercial bank, such as unperfected duty performance evaluation system; lack of scientificevaluation mode systems; invalid board of supervisors’ mechanism; lack of execution and soon, analyzes the causes of these problems: external causes----government intervention leadsto rural commercial bank corporate governance structure with the “birth defects”; internalreasons----shareholding structure lead to irrational inefficiencies corporate governancestructure. Based on the advanced management of rural commercial bank of France andGerman, combined with advanced cases of rural commercial bank corporate governance ofJiangsu and Hubei province, I put forward some suggestions: to promote the reform of ruralcommercial bank’s property rights as the basis; to rationalize the rural commercial bank’s management system as protection; to build the rural commercial bank’s policy-supportsystem as external power. Establish the internal matches the external governance mechanismof Hebei province rural commercial bank.
