| A lot of achievements have been made since the establishment of company improvementsystem for the big three oil companies (namely CNPC,SINOPEC and CNOOC) in China near20years. Due to the strong national characteirstics，current problems exist in，such as onetrump share，the less independence of the board of directors among all and the failure of theregulating directors etc, so through the compairson with international oil majors, what shouldour country’s listed oil companies do to pcrfect their corporate governance with the view toimprove business performance is the focal point of research and discussion of this thesis.This paper combines the theoretical analysis with the empirical studies, the research idea ofthis thesis is as follows: theoretic analysisease analysiscountermeasures and suggestions.The relative notions of corporate governance are the ifrst to be introduced. In the rcspcct oftheoretic analysis, the BP oil company，the Exxon Mobil Corporation and our domestic oilmajorPetro China are selected to be compared in their corporate governance. Brielfysummairzes the characteirstic of big international petroleum corporate governance of listedcompanies. From the angle of intenrational compairson, proposes the existing problems in thepetroleum corporate governance of listed companies in china. Thirdly,In empirical analysis,this paper make all the oil company in A domestic stock market as research samples. Andestablish analytic frame from four aspects of equity structure： shareholders properties> theboardã€board of supervisors and the management. I make the empirical test to the relationshipbetween governance factors and comprehensive management performance of petrochina rfomthe point growth capability and earning capacity, by selecting relevant index vairables,Purposefully studied the governance structure and governance mechanism of oil companies.And combined with the oneself circumstance of our oil companies to put forward thecorresponding measuresAnd suggestions. |
