With the rapid development of our economy, the scale of village collective assets is getting larger and larger in rural areas. As a result, the trading scale of the rural public resources has been expanding continually and largely. The contents and forms of the trading have been extending continually too. On the other hand, there are more and more problems in the rural public resources trading. For example, confused accounts and irregular behaviors are not uncommon in the trading process of some areas; Due to the incomplete legal system, fragmentary management system and the lack of centralized management platform, there are still many difficulties on the supervision; Most of the officials are also suffering at the malfunction of the subject of supervision and the responsibility system which are blurred and indistinct. These problems eventually result in the serious corruption phenomenon. Especially, many low-level officials corrupt extremely according to some news reports. The rural social stability, the governmental credibility and ruling party’s credibility are harmed in a large part at the same time. Therefore, there will be important significances to the governance of rural public affairs by this study.In this thesis, the institutional economic theory is used to analysis the rural public resources trading process. Firstly, according to the behavior orientation analysis according to the hypothesis of economic man in new institutional economics, we can find the dual motives, the bounded rationality and the opportunism behavior tendency of the trading participants. Secondly, according to the analysis about measuring micro-transaction cost, we can find that there will be a powerful effect on the rise of social benefits if the trading system is built formally. On the other hand, the cost of supervision will go up, and we must face the new risk of malfunction if the new trading system is built. Thirdly, according to the analysis of principal-agent relationship in the rural public resources trading and building a model on the relationship, we can find the behavior orientation of the trading participants and the malfunction of the "principal-agent" relationship. At last, according to the analysis of rent-seeking activities in the trading, we can know realize the manifestations and harmfulness of rent-seeking activities in the trading. Besides, we also get a lot of enlightenments about how to control rent-seeking activities in the trading.In last few years, some local governments, such as Zhangqiu County of Shandong Province, take a lot of innovative measures on the centralized management of the rural public resources trading. These innovative measures include standardization of the management system, construction of the centralized management platform, strengthening of information publicity, construction of electronical supervision and establishment of a professional management team. On the other hand, there are still many problems in the improvement made by local governments. These problems include the difficulties in the process of execution and supervision, the defects of the whole system environment, the shortages of professional staff and long-term planning. We can get a lot of enlightenments from these innovative measures and existing problems. The enlightenments include the importance about the centralized management measures, the necessity of making improvements to the system environment and informal rules, the importance about the actual effect of reforms and the necessity of resources integration. At the same time, self-governed system in the rural areas is an important basis and presupposition to the standardization of the rural public resources trading.According to the analysis, some countermeasures and suggestions are raised in the last part. Firstly, we should promote the construction of the legal system, speed up the process of legislation about the rural public resources tradingand strengthen the construction of institutions about the rural public resources trading. Secondly, we should promote the centralized management of the rural public resources trading, speed up the construction of the centralized trading management platform in the town governments, strengthen the construction of the professional team and promote the integration of all kinds of management resources. Thirdly, we should improve the responsibility system and operation flow scientifically, and set up regulatory procedures of democratic decision-making. Fourthly, we should strengthen the digitization and informatization construction, strengthen the digital management of rural public assets and promote the informatization management of the trading. Fifthly, we should strengthen the policy guidance, the public opinion guidance and the propaganda work, incentivize the local government and its staff appropriately, and strengthen the training to town and village officials. At last, we should toughen up the supervision on the enforcement of laws and rules, promote the information publicity during the whole transaction process and improve the way of social supervision.
