With the rapid development of commercial enterprises,more and more modern enterprises take M & A as a way to expand. But not a smooth way, M & A are in high risk, especially the post-merger integration, which demand management of high quality to prevent the failure of integration. Internal control provides framework and methods for risk management. Researches that combine the synergistic effect and internal control in theory of retail group is very few, while, in practice, it also cause few attention.From the perspective of synergistic effect, introducing synergistic effect thoughts into XX retail group in the process of establishing internal control system is significant.This paper united literature research with case study. Firstly, on the basis of reviewing synergistic effect theory and internal control and their relevance, which provided theoretical support for the case analysis. Then, set the company A merger B of retail XX group as a case and find out its shortage of internal control:lack of the internal control environment based on synergistic effect; the risk assessment mechanism was not built; the post-merger internal control measures was weak; incomplete information platform; unsound supervision and feedback mechanism based on the synergistic effect.If these problems are not concerned, XX group may fail to achieve the integration of financial coordination, even lead to the failure of M & A.Thus, internal control should be optimized from internal control environment, risk assessment, internal control measures, information exchange, supervision. And then we designed XX group’s internal control based on the synergistic effect. Subsequently, made specific design of internal control about post-merger integration content of XX group, groomed the process, found out control objectives and critical control point of strategic, business, human resource, financial and culture integration. The results of study have certain reference significance in practice, also provide reference implementation of M&A integration of commodity circulation enterprises in our country.
