| Under the conditions of globalization, cross-border mergers and acquisitions become a major means of internationalization strategy of many companies, there is a certain size and strength of the enterprise, are exploring how to grow into a multinational company with international competitiveness. Because of market competition and the time, most of Chinese companies tend to adopt the way of transnational mergers and acquisitions to grow into multinational companies. However, from the current situation, many companies are trying to use the means of transnational mergers and acquisitions to expand overseas. Some did not deal, some ran into financial difficulties despite a deal, only a few firms achieve the expected outcomes. Dalian Wanda Group United American Multi-Cinema Company is the large-scale mergers and acquisition of Chinese private enterprises in the cultural industries. Since more than two years after the merger, AMC Company turned losses into profits, and Dalian Wanda group become larger and sustainable development, which is worth to explore.In this paper, on the basis of summarizing the research achievements of predecessors, the transnational merger of Chinese private enterprises was discussed to Dalian Wanda Group mergers AMC Company for example. At first, this paper introduced present situation and the existing problems of transnational merger in Chinese private enterprises. Then to Dalian Wanda Group merger AMC Company for cases, this paper introduced motivation and implementation way of Wanda Group transnational merger and acquisition. In addition, this paper does the performance analysis in the two aspects of revenue and profitability. Finally, by analyzing three aspects, this paper summarized the successful experience of mergers and acquisitions. This three aspects is preparations before merger, merger negotiation and transactions, post-merger integration. Through the case study, so that other private enterprises learn the experience. |
