Innovation has become the decisive factor in the development of social economyin the era of innovation economy. Innovative enterprise is the micro foundation ofinnovation system construction with Chinese characteristics. Human capital is at thecore of production factors of innovative enterprise. How can the human capitalparticipate in income distribution reasonably is one of key factors of the growth of theinnovative enterprise. Designing the model of innovative enterprise human capitalparticipating in income distribution reasonably and paying attention to the humancapital of innovative enterprise incentive is conducive to the growth of innovativeenterprise. This strategic plan also highly fit of building an innovation-orientedcountry.First, the article reviews the related research of the human capital of innovativeenterprise participating in income distribution at home and abroad. On the basis ofdefining the connotation of the innovative enterprise, we divide the human capital ofinnovative enterprise into four types: general human capital, R&D human capital,managerial human capital, entrepreneurial human capital. Through the study ofcomplex characteristics of the human capital of innovative enterprise, such as highheterogeneity, high specificity and high value-added, we reveal the mechanism of theaccess control, power, status and culture dominant of the human capital of innovativeenterprise.Secondly, we analyse the mechanism of power access and value formation ofhuman capital of innovative enterprise. The bargaining power between human capitaland material capital of innovative enterprise is analyzed from five latitudes of cost outfrom scarcity, contribution, the ability of the risk and factor endowments: thebargaining power of human capital is increasing, the bargaining power of materialcapital is decreasing. Through game analysis of the human capital and material capital,we induce and deduce the necessity and inevitability of different levels of humancapital of innovative enterprise participating in income distribution.Then, several modes of income distribution of innovative enterprise are analyzedin this paper: the yearly salary, employee stock ownership plan, stock options andmanagement buy-out. The comparative analysis of each mode for different levels ofhuman capital of innovative enterprise is carried out in this paper. We compare andlearn the mode of human capital of innovative enterprise participating in income distribution in the United States, Japan and other developed countries.Finally, it constructs the model of human capital of innovative enterpriseparticipating in income distribution. It defines the enterprise’s economic value added(EVA) as the total amount of residual income of the enterprise. It uses fuzzycomprehensive evaluation method to calculate the bargaining power coefficient of thehuman capital and material capital. The proportion of allocation of human capital andmaterial capital is determined. It uses analytic hierarchy process, combined withperformance appraisal of individual human capital, to determine the amount ofenterprise income of different levels of human capital.
