| Listing Corporation is a typical enterprise of the separation of ownership and control of the company. The decision of executive compensation is not only an important part of corporate governance, but also has become a hot spot of social concern in recent years. Some listing Corporation in the case of economic downturn,the amount of executive pay has maintained a trend of continued growth. In this paper,through the study of the executive pay of listing Corporation in foreign countries, this paper tries to explore a reasonable way to regulate the executive pay of listing Corporation in China.This paper is divided into four parts to write: the first chapter is the introduction,mainly expounds the research background, research status, research methods and writing ideas, but also defines basic concepts related to this article; the second chapter mainly analyzes the foreign advanced market economy country to the listing Corporation executive compensation regulation legislative practice and experience summary also on the experiences of several countries to summarize the references for the legislation of our country; the third chapter describes the current situation of the listing Corporation executive pay legal regulation in our country at present, and analyzes the question in the current situation, and further analyzes the reason some problems; the fourth chapter with the two or three chapter of the paper puts forward some improvement suggestions.
